1. Services Provided
SalesFlick offers marketing services that include, but are not limited to, website design, CRM solutions, reviews, sales nurturing, and other digital marketing services. The scope of services will be outlined in the agreement or proposal between you and SalesFlick.
2. User Responsibilities
Account Information: You are responsible for maintaining the confidentiality of any account information, including usernames and passwords.
Accurate Information: You agree to provide accurate and up-to-date information when creating an account or using our services.
Use of Services: You agree to use our services in compliance with all applicable laws and regulations, and not for any unlawful or fraudulent purposes.
3. Fees and Payments
Payment Terms: Payment for services will be outlined in the agreement or proposal. You agree to pay all fees and charges associated with the services rendered by SalesFlick.
Late Payments: SalesFlick reserves the right to charge interest on any overdue payments, and suspend or terminate services for non-payment.
Refunds: All payments made for services are non-refundable, except as specifically outlined in the agreement.
4. Intellectual Property
Ownership: All intellectual property rights, including copyrights, trademarks, and other proprietary rights, in the services provided by SalesFlick remain with SalesFlick. You may not use, reproduce, or distribute any materials without our written consent.
Client Content: You retain ownership of any content you provide to SalesFlick (e.g., logos, text, images). By providing content, you grant SalesFlick a license to use it solely for the purpose of providing the services.
5. Confidentiality
Both parties agree to keep confidential any information disclosed during the course of the engagement that is marked as confidential or that would be reasonably understood to be confidential. This obligation will survive the termination of this Agreement.
6. Limitation of Liability
SalesFlick will not be liable for any indirect, special, incidental, or consequential damages arising from the use or inability to use our services. Our total liability for any claim arising from this Agreement will be limited to the amount paid by you for the specific service(s) giving rise to the claim.
7. Indemnification
You agree to indemnify and hold SalesFlick, its affiliates, and employees harmless from any claims, damages, or expenses (including legal fees) arising out of your use of our services or violation of this Agreement.
8. Termination
Termination by You: You may terminate the services by providing written notice to SalesFlick. Fees for any completed or in-progress services will still be payable.
Termination by SalesFlick: We reserve the right to terminate or suspend services at any time for any reason, including non-payment or violation of this Agreement.
9. Force Majeure
Neither party will be held liable for any failure to perform under this Agreement due to events beyond their control, such as natural disasters, war, or other unforeseen events.
10. Changes to Terms and Conditions
SalesFlick reserves the right to modify or update these Terms and Conditions at any time. Any changes will be posted on this page with an updated "Effective Date." It is your responsibility to review these Terms periodically.
11. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Victoria, without regard to its conflict of law principles.
12. Dispute Resolution
Any disputes arising under or in connection with this Agreement will be resolved through mediation before a neutral third-party mediator in Melbourne.
